Terms of Use

This Terms of Service ("Agreement") is made between Voxu CC ("we", "us", "our") and you, our customer ("you", "user"). It outlines your rights and responsibilities when using our mobile application "AI Captions & Subtitles: Voxu CC" ("our app" or "our services").

By downloading our app, editing videos, using AI features, sharing content, making purchases, or otherwise accessing our services, you accept this Agreement and consent to contract with us electronically.

We may revise this Agreement at our sole discretion. We will notify you of significant changes through in-app notifications or email. Continued use of our services after such changes constitutes acceptance of the updated Agreement.

We grant you a limited, non-exclusive, non-transferable license to use Voxu CC for personal, non-commercial purposes. You may use our app to:

• Edit videos and photos using our professional toolkit
• Generate and translate captions using AI technology
• Enhance videos with AI-powered features
• Apply effects, filters, and creative assets
• Export and share content to social media platforms
• Use other functionalities we may provide

3.1 Our Intellectual Property

All materials provided through our app, including but not limited to:

• Software and source code
• Effect designs, filters, and transitions
• Fonts and sticker designs
• Sound effects and music (where applicable)
• AI models and algorithms
• User interface and design elements
• Documentation and tutorials

...are owned by Voxu CC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

License Grant: We grant you a limited, non-exclusive, non-transferable license to use these materials solely in connection with your use of Voxu CC. You may not:

• Sell, license, or distribute our materials
• Reverse engineer, decompile, or disassemble our software
• Create derivative works based on our materials
• Use our materials for commercial purposes without authorization
• Remove any copyright or proprietary notices

3.2 Your Content

You retain ownership of all content you create using Voxu CC ("Your Content"). However, you warrant that:

• Your Content does not infringe any third-party rights
• Your Content complies with all applicable laws
• You have all necessary rights to use any third-party content included in Your Content

You agree to indemnify and hold us harmless from any claims arising from Your Content.

• Identification of the copyrighted work
• Description of the infringement
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury

You agree to:

1. Use Voxu CC only for lawful purposes
2. Not create or distribute harmful, abusive, or illegal content
3. Not attempt to circumvent any technical limitations or security measures
4. Not use Voxu CC to violate others' privacy or intellectual property rights
5. Comply with all applicable laws and regulations
6. Maintain the confidentiality of your account credentials
7. Not resell, rent, or lease access to Voxu CC

1. Subscription Access: Paid subscriptions grant access to premium features including but not limited to:
   • Advanced AI features (caption translation, enhanced processing)
   • Premium effects and filters
   • High-resolution exports (4K, 60fps)
   • Ad-free experience
   • Additional creative assets
2. Pricing: Subscription fees vary by plan. Prices are displayed in-app and may vary by region. All prices are exclusive of applicable taxes.
3. Payment Processing: Payments are processed through Apple's App Store. You agree to Apple's payment terms and conditions.
4. Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the current period ends.
5. Renewal Charges: Your account will be charged for renewal within 24 hours before the current period ends at the then-current rate.
6. Subscription Management: You can manage subscriptions and turn off auto-renewal in your Apple ID Account Settings.
7. Trial Periods: Any unused portion of a free trial period will be forfeited when you purchase a subscription.
8. Platform Specificity: Subscriptions are platform-specific. iOS subscriptions work only on iOS devices and cannot be transferred to other platforms.
9. Refunds: All purchases are final. Refunds are subject to Apple's refund policy and applicable laws.

This Agreement remains effective until terminated by either party.

Your Termination Rights: You may terminate this Agreement at any time by discontinuing use of Voxu CC and deleting the app.

Our Termination Rights: We may terminate or suspend your access to Voxu CC immediately if:

• You violate this Agreement
• We suspect fraudulent or abusive activity
• Required by law or governmental authority
• We discontinue the service (with reasonable notice)

Surviving Terms: Upon termination, Sections 3 (Intellectual Property), 5 (Payments), 7 (Liability), 8 (Privacy), 9 (Warranties), and 10 (Governing Law) shall survive.

To the maximum extent permitted by law, Voxu CC shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from:
  • Your use or inability to use Voxu CC
  • Unauthorized access to or alteration of your transmissions
  • Statements or conduct of any third party
  • Any other matter relating to the service

Our total liability shall not exceed the amount you paid to us in the past 12 months, or $100 USD, whichever is greater.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

Key privacy aspects of Voxu CC:

• Transparent Cloud Processing: Cloud-based features (translation) clearly indicate when data is uploaded
• Data Minimization: We collect only necessary information to provide our services
• Your Control: You control your data through app settings and device permissions

9.1 Service "As Is"

Voxu CC is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, including:

• Merchantability, fitness for a particular purpose, and non-infringement
• That the service will be uninterrupted, timely, secure, or error-free
• That results will be accurate, reliable, or meet your expectations
• That errors will be corrected

9.3 Third-Party Content

We are not responsible for:

• User-generated content shared on other platforms
• Third-party services integrated with Voxu CC
• Content created using our app that violates laws or third-party rights

9.4 Your Responsibility

You use Voxu CC at your own risk. You are solely responsible for:

• Backing up your data
• Ensuring your device meets system requirements
• Any damage to your device or data loss
• Legal compliance of content you create and share

10.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

10.2 Dispute Resolution

Any dispute arising from this Agreement shall be resolved through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its then-current rules. The arbitration shall be conducted in English in Singapore. The arbitrator's award shall be final and binding.

10.3 Class Action Waiver

You waive any right to participate in class actions or class-wide arbitration. All claims must be brought in your individual capacity.

1. Entire Agreement: This Agreement constitutes the entire agreement between you and Voxu CC regarding our services.
2. Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
3. No Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
4. Assignment: You may not assign this Agreement without our written consent. We may assign this Agreement to any affiliate or successor.
5. Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
6. Updates: We may update these terms periodically. Continued use after updates constitutes acceptance.
